The conditions, responsibilities, and risks that apply when you access or use TREADSTONE.

TREADSTONE is a non-custodial token launchpad interface. You connect your own wallet and keep control of your own assets. We never hold your funds and never take custody of your assets or private keys.
You are in control of every decision. You choose whether to launch a token, what parameters to use, and whether to buy or sell tokens created through the Services. Trading happens on Uniswap and other third-party venues. We do not make trading decisions for you.
Important disclaimers:
- This software is provided "as is," with no guarantees.
- Crypto and token launches involve substantial risk. You can lose some or all of your money.
- Past volume, fees, or performance of any token does not indicate future results.
- TREADSTONE does not provide investment, financial, legal, or tax advice.
- All decisions to launch, buy, sell, or claim fees are made solely by you.
- Blockchain transactions are irreversible. We cannot reverse, recover, or refund them.
- Permanent LP lock means principal liquidity cannot be withdrawn through the locker; it does not eliminate market or smart-contract risk.
You use this software entirely at your own risk. Your legal rights and our responsibilities are set out in full in the Terms below, including how disputes are resolved (Section 19) and the limits on our liability (Sections 13 and 14).
Please Read These Terms Carefully
These Terms of Service (the "Terms") govern your access to and use of the TREADSTONE platform. They contain important information, including a binding arbitration agreement, a class action waiver, and a jury trial waiver (Section 19), which affect how disputes are resolved.
TREADSTONE is a non-custodial software interface for launching tokens and viewing related on-chain data on Robinhood Chain (an EVM network). Using it involves significant risk, including the potential total loss of assets you commit. The Operator does not provide financial, investment, legal, or tax advice, does not custody your assets, and cannot reverse, recover, or refund blockchain transactions.
TREADSTONE is not affiliated with, endorsed by, or sponsored by Robinhood Markets, Inc. or its affiliates. "Robinhood Chain" refers to the public blockchain network only.
By accessing or using the Services, or by confirming acceptance in the interface (including when launching a token), you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
1. Acceptance of the Terms
1.1. These Terms are a binding agreement between you ("you," "your," or "User") and David Webb Studios (the "Operator," "we," "us," or "our"). The Operator is an independent developer operating under the David Webb Studios name and is not a registered company or other legal entity.
1.2. You accept these Terms by accessing or using any part of the Services, or by confirming acceptance in the interface (including risk acknowledgments required to launch a token). Electronic acceptance may be recorded as evidence under Section 22.
1.3. If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
1.4. You may not access or use the Services if you do not accept these Terms in full.
2. Definitions
- "Services" means the TREADSTONE web application, smart contracts (including factory, locker, and fee router contracts), application programming interfaces, documentation, and all related software, content, and features made available by the Operator.
- "Wallet" means a self-custodial EVM-compatible wallet (for example, Robinhood Wallet, MetaMask, or WalletConnect-compatible wallets) controlled solely by you.
- "Launch" means creating a token and related Uniswap V3 liquidity position through the LaunchFactory (or successor) contracts according to parameters you set.
- "LP Locker" means the smart contract that holds the Uniswap V3 position NFT such that principal liquidity cannot be withdrawn by you or the Operator through that locker design.
- "Digital Assets" means cryptographic tokens, including ERC-20 tokens, WETH, USDG, and other assets on the Blockchain.
- "Blockchain" means Robinhood Chain (mainnet chain ID 4663 and test networks as applicable) and related EVM infrastructure.
- "Third-Party Services" means services not operated by us, including Robinhood Chain and its infrastructure providers, RPC providers, wallet providers, Uniswap and other DEXs or aggregators, block explorers, IPFS/pinning providers, indexers, and analytics vendors.
3. Description of the Services
3.1. What the Services do
TREADSTONE provides a software interface that lets you launch tokens with initial Uniswap V3 liquidity, view launch and fee information, and interact with fee claim flows. When you launch, smart contracts you authorize may deploy a token, create or seed a pool, lock the LP position NFT in the LP Locker, and register fee recipients according to the protocol design.
3.2. Non-custodial
Your Wallet and private keys remain under your control. The Operator does not take possession of your private keys and does not custody your Digital Assets in a traditional sense. Assets used in a Launch (including initial liquidity) are governed by on-chain smart contract logic you authorize. Permanently locked liquidity is not withdrawable as principal through the LP Locker; that is a protocol feature, not Operator custody of tradeable inventory for your benefit.
3.3. Trading venue
Secondary market trading of launched tokens occurs on Uniswap and other Third-Party Services. The Operator is not the exchange and does not guarantee liquidity, price, or the ability to sell.
3.4. Fees
Protocol economics may include Uniswap pool fees collected from locked liquidity and split among protocol, creator, and reinvest recipients as disclosed in the interface and on-chain. Creation fees, if any, and network (gas) fees are your responsibility. Creator fee claims are designed to work on-chain even if the web interface is unavailable.
3.5. Pause and availability
The Operator may pause or restrict new launches via smart contract or interface controls. Pause of new launches does not freeze trading of already-launched tokens on third-party venues. The Operator does not guarantee continuous availability of the web interface.
3.6. Interface, not counterparty
The Operator is a technology provider, not your broker, dealer, exchange, custodian, investment adviser, financial institution, money transmitter, or fiduciary, and is not a counterparty to your trades.
3.7. No affiliation with Robinhood Markets
The Services are independent software. References to Robinhood Chain describe the public network. Nothing in the Services implies endorsement by or partnership with Robinhood Markets, Inc.
3.8. Changes to the Services
We may add, change, suspend, or discontinue any part of the Services at any time. Because relevant actions are on-chain, you may still interact with contracts directly via a block explorer or other clients, subject to Blockchain availability and contract design.
4. Eligibility
4.1. You represent and warrant that you:
- (a) are at least eighteen (18) years old and have full legal capacity;
- (b) are not a "Prohibited Person" under applicable sanctions laws;
- (c) are not accessing from Cuba, Iran, North Korea, Syria, Crimea, Donetsk, Luhansk, or other comprehensively sanctioned territories;
- (d) will not use the Services if prohibited by applicable law in your jurisdiction; and
- (e) are using the Services on your own behalf and not as a nominee for any Prohibited Person.
4.2. You are solely responsible for determining whether your use of the Services is lawful in your jurisdiction.
5. No Financial, Investment, Legal, or Tax Advice
5.1. All content through the Services is for general informational purposes only and is not financial, investment, trading, legal, accounting, or tax advice.
5.2. We do not assess suitability of any Digital Asset, Launch, or transaction for you.
5.3. Trust features (including permanent LP lock, fee transparency, and risk badges) reduce certain operational failure modes; they are not a guarantee of safety, value, or success.
6. Assumption of Risk
You acknowledge risks including, without limitation:
- 6.1. Volatility and total loss. Token launches frequently fail. Only commit assets you can afford to lose entirely.
- 6.2. Smart-contract risk. Bugs, exploits, or unexpected interactions may cause loss. Audits (if any) do not eliminate risk. Contract addresses will be disclosed in the interface and explorer when deployed.
- 6.3. Blockchain and network risk. Congestion, reorgs, MEV, front-running; transactions are generally irreversible.
- 6.4. Liquidity and lock risk. Permanent lock means you cannot withdraw principal LP through the locker. Market price can still go to zero. External liquidity and pool dynamics are outside Operator control.
- 6.5. Execution and pricing risk. Slippage, failed swaps, or poor prices on Third-Party Services.
- 6.6. Key-management risk. You are solely responsible for safeguarding your Wallet and keys.
- 6.7. Third-Party Services risk. Including the chain, RPC providers, Uniswap, wallets, IPFS, and indexers.
- 6.8. Interface risk. The website may be down or degraded. On-chain claim and trade paths may still work via explorers or other clients; you are responsible for learning how to use them.
- 6.9. Regulatory risk. Legal treatment of Digital Assets and launchpads is uncertain and evolving.
- 6.10. Tax risk. You are solely responsible for applicable taxes.
- 6.11. Scam and social risk. Others may impersonate tokens, interfaces, or support. Always verify URLs and contract addresses.
7. Your Responsibilities and Acceptable Use
7.1. You are responsible for verifying Launch parameters, token metadata, balances, gas, and contract addresses before signing; for securing your Wallet; and for complying with all applicable laws.
7.2. You agree not to use the Services for unlawful purposes, market manipulation, fraud, honeypots or deceptive tokens outside the factory’s intended standard template where applicable, attacks on the Services or smart contracts, unauthorized scraping, circumvention of geographic restrictions, IP infringement, misuse of Robinhood trademarks in a manner that implies affiliation, or on behalf of a Prohibited Person.
7.3. We may investigate and restrict interface access for suspected violations. Restriction of the interface does not by itself reverse on-chain transactions.
8. Fees
8.1. Applicable protocol and interface fee disclosures appear in the product documentation and, where relevant, at transaction time. Fee parameters may change for future launches as permitted by contract design and disclosure.
8.2. You are responsible for Blockchain network fees and Third-Party Service costs.
8.3. Except as required by law, fees are non-refundable. Blockchain transactions cannot be reversed.
9. Third-Party Services and Content
9.1. Third-Party Services are governed by their own terms. We do not control or endorse them.
9.2. References to Digital Assets, pools, charts, or partners do not constitute an endorsement or recommendation to buy or sell.
9.3. Tokens launched by other users are not issued by the Operator unless expressly stated. You interact with third-party tokens at your own risk.
10. Intellectual Property; License
10.1. The Services, TREADSTONE name and marks, and related design systems are owned by the Operator or its licensors (including rights associated with David Webb Studios branding where applicable).
10.2. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the interface for its intended purpose, subject to these Terms.
10.3. You may not copy, modify, reverse engineer (except where non-waivable law allows), or use our marks in a way that suggests endorsement without permission.
10.4. Feedback you submit may be used by the Operator without obligation to you.
11. Privacy
11.1. Blockchain activity is public. Wallet addresses, transactions, and contract interactions are visible on explorers. We may process limited technical data (for example, analytics, logs, or support communications) as needed to operate the Services. A dedicated privacy policy may be published at a later URL; until then, minimize personal data you submit through forms or support channels.
12. Electronic Communications and Records
12.1. You consent to receive communications electronically and agree electronic records satisfy legal writing requirements where permitted.
13. Disclaimer of Warranties
13.1 to 13.3. To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranty of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. The Operator does not warrant that the Services will be uninterrupted, secure, or error-free, or that any Launch will succeed commercially.
14. Limitation of Liability
14.1 to 14.3. To the maximum extent permitted by law, Operator Parties are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption. Total aggregate liability arising out of or relating to the Services is capped at the greater of (a) fees (if any) you paid to the Operator for the Services in the twelve (12) months before the claim or (b) one hundred U.S. dollars ($100).
15. Indemnification
15.1. You agree to defend and indemnify the Operator and its officers, directors, employees, agents, and affiliates ("Operator Parties") from claims arising from your use of the Services, your Launches or tokens, violations of these Terms or law, or your Digital Assets and tax obligations.
16. Suspension and Termination
16.1. We may suspend or terminate interface access at any time. Termination of the interface does not unwind on-chain Launches or transfers already confirmed on the Blockchain.
16.2. Surviving sections include 5, 6, 8.3, 10, 13, 14, 15, 17, 19, and 20 through 24.
17. Force Majeure
17.1. Operator Parties are not liable for failures beyond reasonable control, including Blockchain outages, cyberattacks, or changes in law.
18. Changes to These Terms
18.1. We may modify these Terms at any time and will update the version and effective date.
18.2. Material changes take effect upon posting or upon your continued use or re-acceptance as indicated in the interface. Continued use after the effective date constitutes acceptance where permitted by law.
19. Dispute Resolution; Binding Arbitration; Class Action Waiver
Please read this section carefully. It affects your legal rights.
19.1. Contact info@treadstone.finance and attempt informal resolution for at least thirty (30) days before formal proceedings.
19.2. Disputes are resolved by final and binding arbitration administered by JAMS.
19.3. Seat of arbitration: Wilmington, Delaware, United States. Conducted in English.
19.4. Class action waiver: claims only on an individual basis.
19.5. Exceptions: small-claims court or injunctive relief for IP or abuse.
19.6. Jury trial waiver to the extent a claim proceeds in court.
19.7. Governing law: State of Delaware, United States.
19.8. Claims must be brought within one (1) year, to the extent permitted by law.
20. Geographic Restrictions and Sanctions Compliance
20.1. The Services are not directed where use would be contrary to law. You agree to comply with export-control and sanctions laws.
21. Assignment
21.1. You may not assign these Terms without our consent. We may assign without restriction.
22. Acknowledgment and Record of Acceptance
22.1. By accepting, you acknowledge you understand the risks in Section 6, including permanent LP lock and irreversible transactions.
22.2. We may record evidence of acceptance including your Wallet public key, Terms version, interface confirmations, transaction hashes, and technical metadata. Such records may be used as evidence of your acceptance.
23. Miscellaneous
23.1 to 23.6. These Terms are the entire agreement regarding the Services, are severable, and may not be waived except in writing. No partnership or agency is created. Headings are for convenience. English controls.
